SourceUSA Manufacturer Participation Agreement Effective Date: July 1, 2026 This Manufacturer Participation Agreement ("Agreement") is entered into between SourceUSA, a subsidiary of WWMalls Inc., a Montana corporation ("SourceUSA," "we," "our," or "us"), and the manufacturer, supplier, fabricator, contract manufacturer, assembler, industrial service provider, or other business entity ("Manufacturer," "you," or "your") that registers for or uses the SourceUSA Platform. By creating a Manufacturer account or participating on the Platform, you agree to be bound by this Agreement. 1. Purpose SourceUSA exists to strengthen American manufacturing by connecting qualified manufacturers with buyers seeking products, components, custom manufacturing, and industrial capabilities. Participation on the Platform is intended to foster trustworthy, transparent, and mutually beneficial business relationships. 2. Eligibility To participate, you represent and warrant that: • your business is legally organized and authorized to operate; • you possess all licenses, permits, and certifications required by law; • the information you provide is accurate and complete; • you have authority to bind your organization to this Agreement. 3. Manufacturer Responsibilities You agree to: • maintain accurate company information; • keep capability profiles current; • respond honestly to buyer inquiries; • provide realistic quotations; • comply with applicable laws and regulations; • conduct business ethically and professionally; • promptly update significant changes affecting your business. You remain solely responsible for your products, services, pricing, warranties, and contractual commitments. 4. Company Profile Your profile may include: • company history; • facility locations; • equipment; • manufacturing processes; • production capacity; • certifications; • industries served; • quality systems; • product categories; • images, videos, brochures, and catalogs. You grant SourceUSA a non-exclusive, worldwide, royalty-free license to display this content solely for operating and promoting the Platform, while you retain ownership of your intellectual property. 5. Accuracy of Information You certify that all information submitted is truthful and not misleading. You will not knowingly misrepresent: • manufacturing capabilities; • production capacity; • certifications; • quality systems; • workforce size; • equipment; • lead times; • country of origin; • regulatory compliance. Knowingly providing false information may result in immediate suspension or termination. 6. Made in USA Claims If you represent products as "Made in USA," "Manufactured in USA," "Assembled in USA," or similar, you are solely responsible for ensuring those claims comply with all applicable laws and regulations. SourceUSA may request supporting documentation and reserves the right to remove or correct unsupported origin claims. 7. Supplier Verification SourceUSA may offer verification programs at various levels. Verification may include review of: • business registration; • facility information; • certifications; • insurance; • quality systems; • production capabilities; • financial standing where appropriate. Verification indicates that specified information has been reviewed. It is not a guarantee of future performance or product quality. 8. RFQ Participation Manufacturers may receive Requests for Quotation ("RFQs") based on their listed capabilities. By responding to an RFQ, you agree to: • protect proprietary information; • provide good-faith quotations; • avoid unauthorized use of submitted designs; • communicate promptly regarding project status. Submission of an RFQ does not obligate either party to enter into a contract. 9. Confidential Information You may receive confidential business information from buyers through the Platform. You agree to use that information only for evaluating or performing the requested work and not to disclose or exploit it for any other purpose without authorization. Nothing in this Agreement replaces a separate non-disclosure agreement when one is required. 10. Intellectual Property Manufacturers retain ownership of their trademarks, logos, product images, technical materials, and other intellectual property. Buyers retain ownership of drawings, CAD files, specifications, prototypes, and related materials they submit. Participation on the Platform does not transfer ownership of any intellectual property. 11. Product Listings If you list products for sale, you are responsible for: • accurate descriptions; • pricing; • inventory; • warranties; • shipping; • taxes; • regulatory compliance; • product safety. SourceUSA is not the seller unless expressly identified as such. 12. Fees Certain services may require subscription fees, commissions, advertising fees, or premium membership charges. Applicable fees will be disclosed before they become payable. Failure to pay may result in suspension of services. 13. Standards of Conduct Manufacturers shall not: • submit false information; • manipulate search rankings; • create fake reviews; • harass users; • infringe intellectual property; • upload malware; • scrape Platform data without authorization; • interfere with Platform operations; • engage in fraudulent conduct. 14. Insurance Manufacturers are responsible for maintaining appropriate insurance for their operations, products, and services, including product liability coverage where applicable. SourceUSA may request proof of insurance for certain programs or verification levels. 15. Independent Businesses Manufacturers operate as independent businesses. Nothing in this Agreement creates a partnership, joint venture, employment relationship, agency, or franchise between SourceUSA and any Manufacturer. 16. Limitation of SourceUSA's Role SourceUSA provides technology and marketplace services. Unless expressly stated otherwise, SourceUSA: • does not manufacture products; • does not inspect every facility; • does not guarantee orders; • does not guarantee buyer payment; • does not guarantee manufacturer performance; • is not a party to contracts formed between buyers and manufacturers. 17. Suspension and Termination SourceUSA may suspend or terminate participation for violations of this Agreement, fraud, repeated customer complaints, unlawful conduct, misuse of the Platform, or actions that materially harm the integrity or reputation of the Platform. Manufacturers may terminate participation at any time by closing their account, subject to completion of outstanding obligations. 18. Indemnification You agree to defend, indemnify, and hold harmless SourceUSA, its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, costs, and expenses arising from: • your products or services; • your representations or omissions; • your violation of this Agreement; • infringement of third-party rights; • your negligence or unlawful conduct. 19. Limitation of Liability To the fullest extent permitted by law, SourceUSA shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation on the Platform. Where liability cannot be excluded, SourceUSA's aggregate liability shall not exceed the fees paid by the Manufacturer to SourceUSA during the twelve months preceding the claim or US$100, whichever is greater. 20. Governing Law This Agreement shall be governed by the laws of the State of Montana, without regard to conflict-of-law principles, except where mandatory law requires otherwise. Any dispute not subject to arbitration shall be resolved in the state or federal courts located in Montana. 21. Amendments SourceUSA may amend this Agreement from time to time. Material changes will be communicated through the Platform. Continued participation after the effective date constitutes acceptance of the revised Agreement. 22. Entire Agreement This Agreement, together with the Terms of Service, Privacy Policy, and any incorporated policies, constitutes the entire agreement between SourceUSA and the Manufacturer regarding participation on the Platform. 23.
