SourceUSA RFQ & Intellectual Property Policy Version 1.0 Effective Date: July 1, 2026 This RFQ & Intellectual Property Policy ("Policy") governs the submission, transmission, review, and use of Requests for Quotation ("RFQs") and related intellectual property through the SourceUSA Platform ("Platform"), operated by SourceUSA, a subsidiary of WWMalls Inc., a Montana corporation ("SourceUSA," "we," "our," or "us"). This Policy forms part of the SourceUSA Terms of Service. By submitting or responding to an RFQ, you agree to comply with this Policy. 1. Purpose SourceUSA enables businesses to identify qualified U.S. manufacturers capable of producing products, components, assemblies, tooling, prototypes, and custom-manufactured goods. The Platform facilitates communication between Buyers and Manufacturers. SourceUSA is not a party to manufacturing contracts unless expressly agreed in writing. 2. What Is an RFQ? A Request for Quotation ("RFQ") may include, without limitation: • engineering drawings; • CAD or CAM files; • specifications; • product concepts; • bills of materials; • prototypes; • tooling designs; • manufacturing requirements; • quality standards; • testing requirements; • delivery schedules; • photographs; • supporting technical documents. 3. Ownership of Intellectual Property Submission of information through the Platform does not transfer ownership of any intellectual property. Except as expressly agreed in writing: • Buyers retain ownership of all intellectual property they submit. • Manufacturers retain ownership of their pre-existing intellectual property, manufacturing methods, proprietary know-how, trademarks, logos, and technical documentation. • SourceUSA claims no ownership interest in user-submitted intellectual property. Nothing in this Policy grants any patent, copyright, trademark, trade secret, or other intellectual property rights to another party. 4. Limited License to SourceUSA By submitting an RFQ, you grant SourceUSA a limited, non-exclusive, worldwide, royalty-free license to: • store submitted materials; • reproduce submitted materials as necessary; • transmit RFQs to selected manufacturers; • display submitted materials to authorized users; • process submissions for the operation of the Platform. This license exists solely to provide Platform services and terminates when no longer reasonably necessary for those purposes, subject to legal recordkeeping obligations. 5. Distribution of RFQs SourceUSA may distribute an RFQ to manufacturers whose published capabilities reasonably appear to match the requirements of the project. SourceUSA does not guarantee: • the number of manufacturers receiving an RFQ; • responses from manufacturers; • quotation quality; • pricing; • manufacturing capability; • project success. SourceUSA may decline to distribute RFQs that are incomplete, unlawful, misleading, or inconsistent with Platform policies. 6. Buyer Responsibilities Buyers represent and warrant that: • they own or are authorized to disclose submitted materials; • submitted information does not knowingly infringe third-party rights; • submitted information is accurate to the best of their knowledge; • they have authority to request quotations for the proposed work. Buyers should disclose only the information reasonably necessary for manufacturers to evaluate the project. 7. Manufacturer Responsibilities Manufacturers responding to RFQs agree to: • review submitted information solely for evaluating the requested work; • use reasonable care when handling proprietary information; • refrain from unauthorized copying, distribution, or commercial use of submitted materials; • provide quotations in good faith; • promptly notify the Buyer if additional information is required. Manufacturers shall not use RFQ information to develop competing products or otherwise exploit another party's confidential information without authorization. 8. Confidential Information SourceUSA encourages Buyers and Manufacturers to execute separate non- disclosure agreements ("NDAs") whenever projects involve confidential, proprietary, or trade secret information. Unless SourceUSA expressly agrees otherwise in writing, SourceUSA is not a party to such agreements. While SourceUSA employs commercially reasonable administrative, technical, and organizational safeguards, no electronic system can guarantee absolute confidentiality. 9. Trade Secrets Users should exercise sound business judgment before submitting trade secrets through the Platform. Where disclosure of highly sensitive information is unnecessary for initial evaluation, SourceUSA recommends providing only summary technical information until appropriate confidentiality agreements are in place. 10. Patents Nothing in this Policy determines patent ownership, inventorship, priority, validity, enforceability, or freedom to operate. Users are responsible for protecting their own patent rights and seeking independent legal advice where appropriate. 11. Copyright Copyright in drawings, specifications, photographs, software, documentation, and other original works remains with the applicable rights holder. Users may not reproduce, distribute, or modify copyrighted materials except as authorized by the owner or applicable law. 12. Trademarks Submission of trademarks, logos, product names, or branding materials does not transfer ownership. Users remain responsible for ensuring they possess the necessary rights to submit or use such materials. 13. SourceUSA's Role SourceUSA: • facilitates introductions between Buyers and Manufacturers; • operates technology used to transmit RFQs; • does not evaluate the commercial value of inventions; • does not verify patent ownership; • does not determine confidentiality obligations between users; • does not guarantee the security of information beyond commercially reasonable safeguards. 14. Disputes Disputes relating to ownership of intellectual property, confidentiality, patent rights, trade secrets, or contractual obligations remain the responsibility of the parties directly involved. SourceUSA may, but is not obligated to, assist in facilitating communication between users. 15. Violations SourceUSA may suspend or terminate accounts that: • knowingly infringe intellectual property rights; • misuse confidential information; • submit fraudulent RFQs; • misuse another party's technical documentation; • violate this Policy or applicable law. SourceUSA reserves all rights available under law and its Terms of Service. 16. Changes to This Policy SourceUSA may amend this Policy from time to time. Material changes will become effective upon publication on the Platform or as otherwise required by law. Continued use of the Platform after the effective date constitutes acceptance of the revised Policy. 17.
