SourceUSA Terms of Service Effective Date: July 1, 2026 Welcome to SourceUSA ("SourceUSA," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the SourceUSA website, platform, applications, services, directories, databases, search tools, communications, and related features (collectively, the "Platform"). By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you may not use the Platform. 1. Our Mission SourceUSA exists to strengthen American manufacturing by connecting buyers with U.S. manufacturers, suppliers, distributors, and industrial service providers. Our Platform enables users to: • Discover American manufacturers • Locate companies capable of manufacturing new products • Purchase products offered by participating manufacturers • Submit manufacturing requests • Compare suppliers • Request quotations • Promote American-made products • Access manufacturing intelligence and business resources SourceUSA is a technology platform that facilitates connections between businesses. Except where expressly stated, SourceUSA is not the manufacturer, seller, importer, exporter, distributor, reseller, or owner of products listed on the Platform. 2. Eligibility You must be at least 18 years of age and legally capable of entering into binding contracts. If you use the Platform on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms. 3. User Accounts Certain services require registration. You agree to: • provide accurate information • maintain current information • safeguard your login credentials • notify us immediately of unauthorized account use • accept responsibility for activity occurring under your account SourceUSA reserves the right to suspend or terminate accounts that contain false information or violate these Terms. 4. Marketplace Services Manufacturers and suppliers may list products for sale. SourceUSA may provide: • product listings • catalog management • inquiries • RFQs • quote requests • messaging • lead generation • order facilitation • payment processing through third-party providers • shipment tracking integrations Unless expressly identified as the seller, SourceUSA is not the seller of listed products. The purchase contract exists solely between buyer and seller. 5. Manufacturer Discovery Services Users may search for manufacturers based upon: • capabilities • equipment • certifications • production capacity • materials • processes • industries served • quality standards • geographic location • experience Information is supplied by participating manufacturers and public sources. Although SourceUSA attempts to maintain accurate information, we cannot guarantee its completeness or accuracy. Users remain responsible for conducting appropriate due diligence before entering into business relationships. 6. Request for Quote (RFQ) Users may submit RFQs, drawings, specifications, CAD files, prototypes, or production requirements. By submitting such information you represent that: • you have the legal right to disclose it • it does not violate intellectual property rights • it contains no unlawful material SourceUSA may distribute RFQs to manufacturers reasonably believed capable of fulfilling the request. Submission of an RFQ does not create any obligation for manufacturers to respond. 7. Intellectual Property Submitted by Users You retain ownership of your intellectual property. By submitting content to SourceUSA you grant SourceUSA a limited, non- exclusive license to: • store • reproduce • transmit • display • distribute solely as necessary to provide Platform services. You remain responsible for protecting confidential information. Unless expressly agreed through separate confidentiality agreements, users should not assume submissions are confidential. 8. Manufacturer Listings Manufacturers represent that information provided is truthful and current. Manufacturers agree not to: • misrepresent certifications • misrepresent manufacturing capability • falsely claim products are American-made • submit fraudulent reviews • manipulate search rankings • impersonate another business SourceUSA may remove listings at its discretion. 9. American-Made Claims Manufacturers are solely responsible for any claims regarding: • Made in USA • Assembled in USA • Domestic content • Country of origin • Government compliance SourceUSA does not independently verify every origin claim. Users should independently verify compliance where required by law or procurement regulations. 10. Transactions Pricing, availability, shipping terms, warranties, taxes, duties, and fulfillment are determined by the seller. SourceUSA is not responsible for: • inventory shortages • production delays • freight delays • customs issues • payment disputes • manufacturing defects unless SourceUSA is specifically identified as the seller. 11. Payments Payments may be processed through third-party payment providers. SourceUSA does not store complete payment card information. Payment processors operate under their own terms and privacy policies. 12. Prohibited Uses Users may not: • violate laws • upload malicious software • scrape or harvest data without authorization • reverse engineer Platform technology • interfere with Platform security • impersonate others • distribute spam • submit fraudulent RFQs • infringe intellectual property • post false information • manipulate rankings or reviews Violation may result in immediate suspension or termination. 13. Reviews and Ratings Users may leave reviews based upon genuine business experiences. Reviews must be truthful and not misleading. SourceUSA reserves the right to remove reviews that are: • defamatory • fraudulent • abusive • misleading • irrelevant • unlawful 14. Intellectual Property The Platform, including software, databases, search systems, algorithms, trademarks, logos, graphics, and content created by SourceUSA, are owned by SourceUSA or its licensors. No ownership rights are transferred through use of the Platform. 15. Platform Availability We strive for continuous availability but do not guarantee uninterrupted service. Services may be interrupted by: • maintenance • upgrades • network failures • security incidents • third-party outages • force majeure events 16. Third-Party Services The Platform may integrate third-party services including: • payment providers • shipping companies • mapping services • authentication providers • analytics providers • advertising platforms SourceUSA is not responsible for third-party services. 17. Disclaimer of Warranties The Platform is provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, SourceUSA disclaims all warranties, express or implied, including: • merchantability • fitness for a particular purpose • non-infringement • uninterrupted availability • accuracy • reliability SourceUSA does not guarantee successful sales, supplier performance, manufacturing quality, production capacity, delivery schedules, or commercial outcomes. 18. Limitation of Liability To the fullest extent permitted by law, SourceUSA and its officers, directors, employees, affiliates, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, goodwill, business opportunities, data, or production delays arising from use of the Platform. Where liability cannot be excluded, SourceUSA's aggregate liability shall not exceed the greater of (a) the fees paid by you to SourceUSA during the preceding twelve months or (b) US$100. 19. Indemnification You agree to defend, indemnify, and hold harmless SourceUSA, its affiliates, officers, employees, directors, and agents from claims, liabilities, damages, losses, costs, and expenses arising from: • your use of the Platform • your products • your content • violation of these Terms • infringement of third-party rights 20. Confidentiality SourceUSA uses commercially reasonable safeguards to protect information. However, electronic transmission cannot be guaranteed to be completely secure. Users remain responsible for determining whether additional confidentiality agreements are appropriate before sharing proprietary information. 21. Export Compliance Users agree to comply with all applicable U.S. export control laws, sanctions, and trade regulations. Users may not use the Platform for prohibited transactions. 22. Suspension and Termination SourceUSA may suspend or terminate access for violations of these Terms, fraud, illegal conduct, security risks, or misuse of the Platform. Termination does not affect accrued rights or obligations. 23. Modifications SourceUSA may update these Terms from time to time. Continued use after changes become effective constitutes acceptance of the revised Terms. 24. Governing Law These Terms shall be governed by the laws of the State of Montana, without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise. The parties consent to the exclusive jurisdiction of the state and federal courts located in Montana for disputes arising under these Terms. 25. Dispute Resolution Before commencing legal proceedings, the parties agree to attempt in good faith to resolve disputes through informal negotiations. If unresolved, disputes shall be resolved through binding arbitration, except where prohibited by law or where either party seeks injunctive relief for intellectual property or misuse of confidential information. 26. Severability If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect. 27. Entire Agreement These Terms, together with the Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between SourceUSA and the user regarding the Platform. 28.
