2. Platform Overview
SourceUSA operates solely as a technology platform for supplier discovery, product listings, onboarding, verification workflows, and sourcing requests.
- SourceUSA is not a buyer, seller, broker, distributor, or agent.
- SourceUSA is not a party to transactions between buyers and manufacturers.
- All commercial agreements are made directly between users.
3. Account Types and Eligibility
The Platform supports Buyer Accounts and Manufacturer Accounts. Users must be at least 18 years old and authorized to act on behalf of a business entity when using the Platform for business purposes.
4. Verification and Trust Framework
SourceUSA may require email verification, business verification, and supporting documentation. Verification is a trust signal only and does not guarantee legitimacy, performance, creditworthiness, or compliance.
5. Marketplace Monetization
Manufacturers may purchase premium placement or participate in sponsored search ranking. Sponsored visibility does not imply endorsement by SourceUSA and does not guarantee sales, leads, or transaction results.
6. Intellectual Property
All platform design, code, branding, and non-user content are owned by SourceUSA or its licensors. Users may not scrape, copy, mirror, or reverse engineer the Platform without written permission.
7. Disclaimers
The Platform is provided “as is” and “as available.” SourceUSA disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, SourceUSA shall not be liable for transaction losses, supplier failures, product defects, delivery delays, lost profits, or indirect or consequential damages. Any direct liability is limited to the amount paid to SourceUSA in the prior twelve months, if any.
9. Indemnification
You agree to indemnify and hold harmless SourceUSA and its affiliates from claims arising from your use of the Platform, your listings, your products, your transactions, or your violation of law or these Terms.
10. Suspension and Termination
We may suspend, restrict, or terminate accounts for fraud, platform abuse, legal risk, misleading listings, policy violations, or suspicious activity.
11. Governing Law
